1. About WrenchNow

WrenchNow Inc. ("WrenchNow," "we," "us," or "our") operates an online marketplace platform that connects vehicle owners ("Customers") with independent, self-employed automotive service providers ("Mechanics"). WrenchNow is a technology platform only — we do not employ Mechanics, perform automotive services, or guarantee the quality of any work performed.

By accessing or using WrenchNow, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them.

2. Marketplace — Not an Employer

WrenchNow is a marketplace platform, not an automotive service provider. All Mechanics on the platform are independent contractors, not employees, agents, partners, or representatives of WrenchNow. WrenchNow does not control, direct, or supervise the work performed by any Mechanic.

WrenchNow is not responsible for and expressly disclaims liability for:

• The quality, safety, legality, or fitness of any automotive service performed
• Any damage to your vehicle, property, or person arising from services performed by a Mechanic
• Any injury to you, a Mechanic, or any third party arising from services booked through the platform
• Any misrepresentation by a Mechanic regarding their qualifications, experience, or certifications
• Any dispute between a Customer and a Mechanic
• The actions or omissions of any Mechanic before, during, or after a service appointment

3. Independent Contractor Relationship

Mechanics who use WrenchNow are solely responsible for determining how to perform services, providing their own tools and equipment, setting their own schedules, and complying with all applicable laws, regulations, and licensing requirements. Nothing in these Terms creates an employment relationship, agency, partnership, or joint venture between WrenchNow and any Mechanic.

4. Background Checks and Verification

WrenchNow may conduct identity verification and background screening on Mechanics who apply to the platform. However, WrenchNow does not guarantee the accuracy or completeness of any background check, and passing a background check does not constitute an endorsement, warranty, or guarantee of a Mechanic's qualifications, character, or conduct.

Customers are encouraged to review a Mechanic's profile, ratings, and reviews before booking. Customers use the platform at their own risk.

5. Limitation of Liability

To the fullest extent permitted by applicable law, WrenchNow, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damage to your vehicle, property damage, personal injury, loss of data, loss of revenue, or loss of profits, even if WrenchNow has been advised of the possibility of such damages.

In no event shall WrenchNow's total liability to you for all claims arising out of or relating to these Terms or your use of the platform exceed the greater of (a) the total fees paid by you to WrenchNow in the twelve months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, WrenchNow's liability is limited to the maximum extent permitted by law.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WRENCHNOW DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Payment Terms

Quotes. Mechanics send a price (labor and parts) before any work is booked. The Customer accepts or declines. If the Mechanic finds more work is needed, they send a revised price, and nothing changes unless the Customer approves it; if the Customer declines, the original price stands.

When online payment is offered, the Customer's card is saved through Stripe, Inc. when they accept a quote and is charged the agreed (or approved revised) price when the Customer confirms the job is done, or 48 hours after the Mechanic marks it done unless the Customer reports a problem first. Reporting a problem holds the payment while WrenchNow looks into it. Payments are processed by Stripe and paid out to the Mechanic through Stripe; WrenchNow never stores card numbers. Card processing costs and WrenchNow's 5% platform fee are deducted from the Mechanic's share and shown in their Stripe account. When online payment is not offered, the Customer pays the Mechanic directly and WrenchNow does not handle the money.

Refunds are decided case by case after hearing from both sides. Payment problems must be raised within 30 days of the job.

8. Dispute Resolution Between Customers and Mechanics

WrenchNow provides a dispute mediation process to assist in resolving disagreements between Customers and Mechanics. WrenchNow does not guarantee the outcome of any dispute, does not guarantee the quality of work performed, and does not offer any warranty or guarantee on automotive services booked through the platform. Any resolution is at WrenchNow's sole discretion and is provided as a courtesy only. Customers should raise any concerns directly with the Mechanic in the first instance.

9. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Take a job found on WrenchNow off the platform to avoid its payment process, when online payment is offered
• Submit false, fraudulent, or misleading information
• Harass, threaten, or harm any Mechanic or other user
• Interfere with the platform's operation or security
• Use the platform if you are under 18 years of age
• Post false or defamatory reviews

10. Reviews and Content

By submitting a review or any other content to the platform, you grant WrenchNow a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display that content. You represent that your content is truthful and does not violate any third party's rights. WrenchNow reserves the right to remove any content at its sole discretion.

11. Intellectual Property

All content on the WrenchNow platform, including but not limited to text, graphics, logos, icons, and software, is the property of WrenchNow Inc. or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without express written permission.

12. Privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using WrenchNow, you consent to the collection and use of your information as described in our Privacy Policy.

13. Indemnification

You agree to indemnify, defend, and hold harmless WrenchNow Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the platform, your violation of these Terms, or your violation of any rights of another person or entity.

14. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be resolved by binding arbitration administered by a mutually agreed arbitration organisation, rather than in court, except that you may assert claims in small claims court if they qualify.

You waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WrenchNow Inc. is incorporated, without regard to its conflict of law provisions.

16. Changes to Terms

WrenchNow reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.

17. Termination

WrenchNow reserves the right to suspend or terminate your access to the platform at any time, for any reason, without notice or liability. You may stop using the platform at any time.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and WrenchNow regarding your use of the platform.

1. Information We Collect

Information you provide directly:

• Name, email address, and password when you create an account
• Phone number when booking a service, shared with the mechanic you book so they can reach you
• Vehicle information (year, make, model) when booking a service
• Location or address when booking a service
• Payment information (processed and stored by Stripe — we never see or store your card number)
• Service descriptions and notes you provide when booking
• Reviews and ratings you submit
• Information you provide when applying as a Mechanic, including contact details, professional experience, qualifications, and an optional profile photo
• For Mechanic applicants: the result of a background and driving-record check run by a third-party provider with your consent (we receive the result, not your Social Security number)

Information collected automatically:

• IP address and general location data
• Browser type and device information
• Pages visited and features used on the platform
• Booking and transaction history

2. How We Use Your Information

• To operate and improve the WrenchNow platform
• To connect you with Mechanics or Customers
• To process payments and send booking confirmations
• To send service reminders and re-engagement communications
• To verify the identity and credentials of Mechanics
• To investigate disputes, fraud, or misuse of the platform
• To comply with legal obligations
• To communicate platform updates, new features, and promotional offers (you may opt out at any time)

3. How We Share Your Information

We do not sell your personal information. We share information only in the following circumstances:

• With Mechanics: When you ask for quotes, mechanics see your first name, vehicle, the job, any photos you add, and your ZIP code / rough area. Your exact address and phone number are shared only with the one Mechanic whose quote you accept
• With Customers: Mechanic profiles including name, location, specialties, ratings, and verified job prices are visible to all users
• With service providers: We use Google Firebase (database and sign-in), Stripe (payments), Resend (email), and, for mechanic applicants who consent, a background-check provider to operate the platform. These providers process data on our behalf under confidentiality obligations
• For legal reasons: We may disclose information if required by law, court order, or to protect the rights and safety of WrenchNow, its users, or the public
• Business transfers: In the event of a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction

4. Data Retention

We retain your account information for as long as your account is active or as needed to provide services. Booking records are retained for a minimum of 7 years for legal and tax compliance purposes. You may request deletion of your personal data at any time (subject to legal retention requirements) by emailing privacy@wrenchnow.com.

5. Security

We use industry-standard security measures to protect your information, including encrypted data transmission (HTTPS), access rules on our database that limit who can read each record, and secure third-party payment processing through Stripe. We never store payment card numbers. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.

6. Cookies and Tracking

WrenchNow uses your browser's local storage (not advertising cookies) to keep you signed in until you sign out, and session storage to speed up page loads. We do not use persistent tracking cookies or third-party advertising trackers.

7. Your Rights

Depending on your location, you may have the following rights regarding your personal data:

• Access: Request a copy of the personal data we hold about you
• Correction: Request correction of inaccurate data
• Deletion: Request deletion of your personal data (subject to legal obligations)
• Portability: Request your data in a machine-readable format
• Objection: Object to processing of your data for marketing purposes
• Withdrawal of consent: Withdraw consent for data processing where consent is the legal basis

8. Children's Privacy

WrenchNow is not intended for use by persons under the age of 18. We do not knowingly collect personal information from children. If you believe a child has provided us with personal information, please contact us immediately.

9. International Data Transfers

Your data may be processed and stored in countries other than your own. By using WrenchNow, you consent to the transfer of your information to countries that may have different data protection laws than your country of residence.

10. Third-Party Links

The platform may contain links to third-party websites. We are not responsible for the privacy practices of those websites and encourage you to review their privacy policies.

11. GDPR — Users in the European Economic Area

If you are located in the EEA, our legal basis for processing your personal data is: (a) performance of a contract when we process data to provide our services; (b) legitimate interests when we improve the platform and prevent fraud; (c) compliance with legal obligations; and (d) consent where you have provided it. You have the right to lodge a complaint with your local data protection authority.

12. CCPA — Users in California

California residents have the right to know what personal information is collected, to request deletion of personal information, and to opt out of the sale of personal information. WrenchNow does not sell personal information. To exercise your rights under the CCPA, contact us at privacy@wrenchnow.com.

13. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by updating the "Last updated" date. Your continued use of the platform constitutes acceptance of the revised policy.

1. Independent Contractor Status

You are an independent contractor, not an employee of WrenchNow. This Agreement does not create an employment relationship, agency, partnership, or joint venture. You have no authority to bind WrenchNow to any contract or obligation.

As an independent contractor, you are solely responsible for:

• All taxes arising from payments received through WrenchNow, including self-employment tax
• Obtaining and maintaining all required licences, certifications, and permits to perform automotive services in your jurisdiction
• Providing your own tools, equipment, and supplies
• Setting your own working hours and schedule
• Determining how services are performed, subject to customer requirements
• Complying with all applicable laws and regulations

2. Qualifications and Representations

By applying to WrenchNow, you represent and warrant that:

• You are at least 18 years of age
• You have the legal right to work in the jurisdiction where you will provide services
• All information you provide in your application is accurate and complete
• You hold all licences, certifications, and qualifications required by applicable law to perform the services you offer
• You have not been convicted of a crime that would reasonably disqualify you from working with members of the public
• You are in good health and physically capable of performing automotive services safely
• You will maintain the accuracy of your profile information at all times

3. Insurance Requirements

You are required to maintain, at your own expense, adequate insurance coverage to protect yourself and your customers, including:

• General liability insurance (recommended minimum: $1,000,000 per occurrence)
• Garage keeper's liability or on-hook towing insurance if applicable
• Workers' compensation insurance if required by your jurisdiction
• Any other insurance required by applicable law

WrenchNow does not provide insurance coverage for Mechanics or their work. WrenchNow is not responsible for any claims, losses, or damages arising from your failure to maintain adequate insurance.

4. Quality of Work

You agree to:

• Perform all services in a professional, workmanlike manner consistent with industry standards
• Use appropriate parts and materials for each job
• Communicate clearly with customers about the scope, cost, and timeline of work before beginning
• Obtain customer approval before performing any work beyond the original agreed scope
• Leave the customer's vehicle and property in the same or better condition than found
• Respond promptly to booking notifications and customer communications
• Arrive within the agreed time window or notify the customer immediately of any delay

5. Prohibited Conduct

You agree not to:

• Perform services while impaired by alcohol, drugs, or any substance
• Misrepresent your qualifications, experience, or the services you provide
• Charge amounts beyond those agreed with the customer and disclosed on the platform
• Take payment outside WrenchNow for a job found on WrenchNow when online payment is offered
• Harass, intimidate, or behave inappropriately toward any customer
• Share customer personal information with any third party
• Use WrenchNow for any unlawful purpose
• Damage a customer's vehicle, property, or any third-party property intentionally or through gross negligence
• Solicit customers to use your services outside the WrenchNow platform for 12 months after your last booking through WrenchNow
• Miss confirmed appointments without notice. Missed appointments and cancellations within 24 hours of a job are shown on your profile and lower your place in search; repeated no-shows can lead to removal

6. Platform Fee and Payments

Platform fee and verification fee. WrenchNow's platform fee is 5% of the job price on jobs paid through WrenchNow. Applicants pay a one-time verification fee of $49, which covers a third-party background and driving-record check and is not refunded once the check has been ordered.

You will get at least 30 days' notice by email before the platform fee changes, and a change never applies to jobs already accepted.

Quotes and price changes. You set your price for each job as a quote (labor and parts). If you find more work is needed, send a revised price through WrenchNow before doing the extra work; the customer must approve it, and if they don't, the original price stands.

Getting paid. When online payment is offered, you must complete Stripe payout setup (Stripe Connect) before sending quotes. The customer's payment goes to your Stripe account, less card processing costs (about 3.2% + 55¢ per job, covering Stripe's card and payout fees) and the 5% platform fee. Payment is taken when the customer confirms the job, or 48 hours after you mark it done unless the customer reports a problem first. If a customer reports a problem or disputes the charge with their bank, payment may be held, and if a refund is issued, the amount paid to you for that job may be reversed. When online payment is not offered, the customer pays you directly.

Payments are processed through Stripe Connect. WrenchNow is not responsible for delays or failures in payment processing caused by Stripe or by errors in your account information.

7. Liability and Indemnification

You are solely responsible for any damage, injury, loss, or claim arising from the services you perform through WrenchNow. WrenchNow assumes no liability for your work, your vehicle, your tools, or your conduct.

You agree to indemnify, defend, and hold harmless WrenchNow Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Any service you perform or fail to perform
• Any damage to a customer's vehicle or property
• Any personal injury caused by you or arising from your work
• Your violation of this Agreement or any applicable law
• Your misrepresentation of your qualifications or the services you provide

8. Ratings and Reviews

Customers may rate and review your services after each completed job. WrenchNow may display these ratings publicly on your profile. WrenchNow reserves the right to remove any review that violates its policies. You may not solicit, incentivise, or manipulate reviews in any way.

WrenchNow may suspend or remove Mechanics whose average rating falls below acceptable thresholds as determined by WrenchNow in its sole discretion.

9. Termination

WrenchNow may suspend or terminate your access to the platform at any time, for any reason, including but not limited to:

• Violation of this Agreement or WrenchNow's Terms of Service
• Customer complaints or consistently low ratings
• Fraudulent or illegal conduct
• Failure to maintain required licences or insurance
• Any conduct that WrenchNow determines, in its sole discretion, is harmful to customers, the platform, or WrenchNow's reputation

You may terminate this Agreement at any time by ceasing to use the platform.

10. Confidentiality

You agree to keep confidential all customer personal information accessed through the platform, including names, addresses, vehicle information, and contact details. You may not use customer information for any purpose other than performing the booked service.

11. Dispute Resolution

Any dispute between you and WrenchNow arising out of this Agreement shall be resolved by binding arbitration on an individual basis. You waive any right to participate in class action proceedings.

12. Governing Law

This Agreement shall be governed by applicable law in the jurisdiction where WrenchNow Inc. is incorporated.

13. Entire Agreement

This Agreement, together with WrenchNow's Terms of Service and Privacy Policy, constitutes the entire agreement between you and WrenchNow regarding your participation as a Mechanic on the platform.
